Terms & Conditions

1. General

These General Terms and Conditions (“Terms”) govern the sale of products and services by HansaBioMed Life Sciences OÜ (registry code: 11078260, VAT: EE101867663), with its registered office at (“Seller”, “we”, “us”), to business customers (“Buyer”, “you”).

By placing an order through our website, email, or any other channel, you agree to be bound by these Terms. These Terms apply to all sales unless a separate written agreement has been executed between the parties.

2. Scope & Intended Use

Our products are intended for research use only (RUO) and are not approved for diagnostic, therapeutic, or other clinical use in humans or animals unless explicitly stated otherwise. It is the Buyer’s responsibility to ensure compliance with all applicable local, national, and international regulations regarding the use of our products.

3. Orders & Contract Formation

1. All orders are subject to acceptance by the Seller. A binding contract is formed when we issue an order confirmation or dispatch the products, whichever occurs first.
2. We reserve the right to refuse or cancel any order due to product unavailability, pricing errors, suspected fraud, or breach of these Terms.
3. Order modifications or cancellations must be requested in writing before dispatch. Once an order has been shipped, it cannot be cancelled.
4. Quotations are valid for 30 days from the date of issue unless otherwise stated.

4. Prices & Payment

1. All prices are listed in Euros (€) and are exclusive of VAT unless otherwise stated. VAT will be applied in accordance with applicable Estonian and EU regulations.
2. Intra-Community supplies to VAT-registered businesses in other EU member states are zero-rated, provided a valid VAT number is supplied.
3. Payment terms are net 30 days from invoice date, unless otherwise agreed in writing. We reserve the right to require prepayment for first-time customers or orders exceeding €5,000.
4. Late payment will incur interest at the rate of 0.05% per day on the outstanding amount from the due date until full payment is received.
5. We reserve the right to adjust prices. The price applicable is the price at the time of order confirmation.

5. Delivery & Shipping

1. Delivery terms are DAP (Delivered at Place) unless otherwise agreed. Risk of loss passes to the Buyer upon delivery to the carrier.
2. Delivery dates are estimates only and are not guaranteed. We shall not be liable for delays caused by circumstances beyond our reasonable control.
3. Shipping costs are calculated based on destination, weight, and temperature requirements. Cold chain shipments may incur additional charges for dry ice, insulated packaging, and express delivery.
4. The Buyer may use their own carrier account by providing the account details during checkout. In such cases, shipping charges are the Buyer’s responsibility.

6. Inspection & Claims

1. The Buyer must inspect all products upon receipt and notify us of any damage, defects, or discrepancies within 5 business days of delivery.
2. Claims regarding concealed defects must be made within 14 days of discovery, but no later than 6 months from delivery.
3. All claims must be made in writing to info@hansabiomed.eu and include the order number, product details, and a description of the issue with photographic evidence where applicable.
4. Products must not be used or further processed before a claim is resolved, unless we provide written consent.

7. Returns & Refunds

1. Due to the nature of biological and research products, returns are accepted only in the following cases:
   • Products are defective or damaged during transport
   • Incorrect products were delivered
   • Products do not meet the specifications described in the product datasheet
2. Returns must be authorised in advance by contacting our team. Products must be returned in their original, unopened packaging and in the same condition as received.
3. Perishable products and products requiring cold chain storage cannot be returned once delivered, unless they are defective upon arrival.
4. Approved returns will be refunded or replaced at our discretion. Refunds will be issued to the original payment method within 14 business days of receiving the returned product.
5. Custom-manufactured or made-to-order products are non-returnable.

8. Warranty & Liability

1. We warrant that our products conform to the specifications stated on the product datasheet and certificate of analysis (CoA) at the time of shipment.
2. Our liability is limited to the replacement of the product or a refund of the purchase price. We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, revenue, or research results.
3. The Buyer is solely responsible for determining the suitability of the products for their intended research application.
4. Products must be stored and handled in accordance with the conditions specified on the product label and datasheet. Failure to comply voids any warranty.

9. Intellectual Property

All content on this website — including text, images, logos, product names, datasheets, and software — is the property of HansaBioMed Life Sciences OÜ or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or commercially use any content without our prior written consent.

The purchase of our products does not grant the Buyer any licence or rights to any patents, trademarks, or other intellectual property associated with the products, except the right to use the products for research purposes as described in the product documentation.

10. Confidentiality

Both parties agree to treat as confidential any non-public information received from the other party in connection with the business relationship, including pricing, technical data, and commercial terms. This obligation survives the termination of the business relationship for a period of 3 years.

11. Force Majeure

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, government actions, supply chain disruptions, or carrier delays. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.

12. Export Control & Compliance

The Buyer agrees to comply with all applicable export control laws and regulations, including EU and international sanctions. Products may not be exported or re-exported to sanctioned countries, entities, or individuals without proper authorisation.

13. Data Protection

We process personal data in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR). By using our website and placing orders, you acknowledge that you have read and understood our Privacy Policy.

14. Website Use

1. Access to this website is provided on an “as is” and “as available” basis. We make no warranty that the website will be uninterrupted, error-free, or free of viruses.
2. You agree not to use the website for any unlawful purpose, to interfere with its operation, or to attempt to gain unauthorised access to any part of the website or its systems.
3. Product information, images, and descriptions on the website are provided for informational purposes and may be updated without notice. While we strive for accuracy, we do not warrant that all information is complete or current.

15. Amendments

We reserve the right to amend these Terms at any time. The amended Terms will be posted on this page with an updated “Last updated” date. Continued use of our services after such changes constitutes acceptance of the revised Terms. For existing orders, the Terms in effect at the time of order confirmation shall apply.

16. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of laws provisions.

Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations. If no resolution is reached within 30 days, the dispute shall be submitted to the Harju County Court (Harju Maakohus), Tallinn, Estonia.
